CustomerLinx has provided Market Central with a right to put or sell the CustomerLinx shares to CustomerLinx over a 2 1/2 year period at a stipulated monthly rate. This put, if exercised, provides for minimum of $1,100,000 in cash. The parties intend to close on the asset purchase by no later than February 28, 2005.
