     Registrant has a filed registration statement with the Commission
on Form 10-SB and is currently responding to comments.  Financial
statements for the Registrant's year ended August 31, 1997 are being
completed in order to be included in its Amendment no. 1 to its
Form 10-SB and to reflect any relevant comments made by the Commission
upon its review of the registration statement.  Form 10-KSB will be
filed following the filing of its Amendment no. 1 and is expected to be
filed within the extension period provided by this Form 12b-25.
