The Registrant is awaiting information from third parties in connection with the
accounting for an acquisition completed during the Registrant's current fiscal
year in order to complete the preparation of Form 10-KSB. In addition, the
Registrant's certifying accountants, which were engaged on September 4, 2001,
are awaiting information from third parties.

Part IV (3)

     The Registrant does not anticipate any significant change in results of
operations from the year ended August 31, 2000 will be reflected by the earnings
statements to be included in the August 31, 2001 Form 10-KSB. As previously
reported on SEC Form 8-K, for an event of February 1, 2001, the Registrant
acquired e-commerce support services, inc. and discontinued its prior operating
business segment. Accordingly, the prior years' results of operations will be
reflected as discontinued operations and the current results of operations will
cover the e-commerce support services, inc. results since the acquisition in the
August 31, 2001 financial statements.
