(i) Effective March 10, 2005, Eisner LLP was dismissed as the principal accountants to audit the financial statements of Enviro Voraxial Technology, Inc. (the "Registrant"). (ii) The reports of Eisner LLP ("EISNER") on the financial statements of Registrant for the past two fiscal years contained no adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principle; however, the reports were modified to include an explanatory paragraph wherein EISNER expressed substantial doubt about the Registrant's ability to continue as a going concern. (iii) The dismissal of EISNER and subsequent engagement of new independent accountants (described below) was approved by the Registrant's Board of Directors, as the Registrant has no Audit Committee. (iv) In connection with its audits for the two most recent fiscal years and including the interim period up to and including the date of dismissal, there have been no disagreements with EISNER on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements if not resolved to the satisfaction of EISNER would have caused them to make reference thereto in their report on the financial statements for such years; however, the reports were modified to include an explanatory paragraph wherein EISNER expressed substantial doubt about the Registrant's ability to continue as a going concern. (v) During the two most recent fiscal years and including the interim period up to and including the date of dismissal, the Registrant has had no reportable events (as defined in Item 304 (a)(1)(v) of Regulation S-K).
