ITEM 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 9, 2005, pursuant to the Code of Regulations of Stoneridge, Inc. (the “Company”), the Company’s Board of Directors approved a change in the Company’s fiscal year end from a calendar year end (December 31) to a 52-53 week fiscal year end. The 2005 fiscal year will end on December 31, 2005. The Company’s fiscal quarters are now comprised of 13-week periods and once every seven years, starting in 2008, the fourth quarter will be 14 weeks in length. No transition report is required to be filed.
