Item 8.01. Other Events.

On December 31, 2021, the Board of Directors (the “Board”) of Annaly Capital Management, Inc. (the “Company”) authorized a new share repurchase program. Under the repurchase program, the Company may repurchase up to $1.5 billion of its outstanding shares of common stock through December 31, 2024. The new share repurchase program replaces the Company’s existing $1.5 billion share repurchase program, which expired on December 31, 2021. The authorization does not obligate the Company to acquire any particular amount of common stock and the program may be suspended or discontinued at the Company’s discretion without prior notice.
