Item 8.01. Other Events.

On May 2, 2018, Annaly Capital Management, Inc., a Maryland corporation (“Annaly”), issued a press release announcing the execution of a definitive agreement under which Annaly will acquire MTGE Investment Corp., a Maryland corporation (“MTGE”), for approximately $900 million. A copy of the press release is attached hereto as Exhibit 99.1, and is incorporated by reference herein.

On May 2, 2018, Annaly also made available an investor presentation relating to the proposed transaction. A copy of the presentation is attached hereto as Exhibit 99.2, and is incorporated by reference herein.
