Item 1.01               Entry into a Material Definitive Agreement.

 

On October 20, 2005, we entered into a Product Supplement/Award Letter with Sun Microsystems, Inc. and Sun Microsystems International B.V. (collectively, “Sun”), pursuant to our Product Purchase Agreement with Sun, as amended (the “PPA”).  This Product Supplement/Award Letter adds certain next generation disk array controller and chassis storage products to the PPA under the product family name SE-3320, which are intended to be successor products to certain disk array and chassis storage products currently available to Sun under the PPA.  These new next generation disk array controller and chassis storage products will be designed to be compliant with European Union Directive 2002/95/EC with regard to the restriction on the use of hazardous substances in electrical and electronic equipment.
