The rate on these trust preferred securities is the 3-month LIBOR rate plus a specified percentage. The rate, which adjusts every three months, is currently 4.64% per annum. The trust preferred securities mature in thirty years, and can be called without penalty on or after January 18, 2010. Mercantile expects to use the proceeds from the sale of the trust preferred securities to increase its capital and for general corporate purposes. This issuance of trust preferred securities, when added to the $16,000,000 of trust preferred securities issued by the Trust on September 16, 2004, brings the total amount of trust preferred securities outstanding to $32,000,000. The trust preferred securities issued today have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
