Effective December 12, 2008, the Articles of Incorporation of the registrant were amended solely to effect a change of the name of the registrant from “EchoStar DBS Corporation” to “DISH DBS Corporation.”

1. The First Article of the Articles of Incorporation is hereby amended to provide as follows:

“The name of the corporation is DISH DBS Corporation.”
