Item 5.02  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On March 8, 2005, William A. Shutzer notified the Registrant of his intention to not stand for re-election at the Registrant's next annual meeting of shareholders. Mr. Shutzer told the Registrant that this decision was due to the increased responsibilities and demands of his position as partner of Evercore Partners, a financial advising and private equity firm. Shutzer, formerly a managing director of Lehman Brothers, has served as a director of American Financial Group, Inc. since May 2003.
