Section 1 - Registrant’s Business and Operations

Item 1.01    Entry into a Material Definitive Agreement.

 
On July 21, 2008, a Credit Agreement was entered into among American Financial Group, Inc., certain lenders, and Wachovia Bank, National Association, as Administrative Agent.  The Credit Agreement is in addition to the Registrant’s existing $500 million bank line and provides for a $120 million, 364-day credit facility.

Loans under the Credit Agreement bear interest at a rate equal to the London Interbank Offered Rate plus 225 bps.

The terms of the Credit Agreement are otherwise substantially similar to the terms of the Registrant’s existing bank line and include customary covenants and events of default, subject to materiality thresholds and grace periods.

This description of the Credit Agreement is qualified in its entirety by the credit agreement filed as an exhibit herewith and incorporated herein by reference.
