Item 2.02Results of Operations and Financial Condition.

 

On November 5, 2018, the Company issued a press release re-affirming its previously announced estimated range of net income per diluted share for the third quarter of the Company’s fiscal year ending February 2, 2019 (“Fiscal 2018”) and announcing comparable retail sales for the third quarter of Fiscal 2018. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.

 

The information in this Current Report is being furnished pursuant to Item 2.02 of Form 8-K insofar as it discloses historical information regarding the Company’s results of operations and financial condition as of and for the third quarter of Fiscal 2018. As also set forth in the Company’s November 5, 2018 press release furnished as Exhibit 99.1 hereto, the Company announced the consolidation of certain key management roles.

 

Pamela Wallack, the Company’s President, Global Product and Anurup Pruthi, the Company’s Chief Financial Officer, left the Company to pursue other opportunities, effective November 2, 2018. Neither executive left the Company as a result of any disagreement with the Company concerning the Company’s operations, policies or practices.

 

Effective as of November 2, 2018: (i) Jane Elfers, the Company’s President and Chief Executive Officer, reassumed Ms. Wallack’s duties; and (ii) Michael Scarpa, the Company’s Chief Operating Officer, and the former Chief Financial Officer of the Company, reassumed Mr. Pruthi’s duties.

SECAUCUS, New Jersey – November 5, 2018 – The Children’s Place, Inc. (Nasdaq: PLCE), the largest pure-play children’s specialty apparel retailer in North America, today announced that it has consolidated key management roles.

 

Jane Elfers, President and CEO announced, “Over the past several years, we have made significant investments in support of our company-wide business transformation efforts. As we approach the last phase of our major systems implementations, the opportunity exists for significant efficiencies across the organization, and today we are announcing a more streamlined senior leadership structure. I will permanently reassume direct responsibility for product and Mike Scarpa will permanently reassume the CFO title, in addition to his current COO title. Pamela Wallack and Anurup Pruthi have left the business to pursue other opportunities. We thank them for their contributions and wish them well in their future endeavors.”

 

Ms. Elfers continued, “We delivered positive comp sales every month in Q3 resulting in a positive high single digit comp for the quarter. In light of our strong performance, we are reaffirming our Q3 EPS guidance. Importantly, our inventory is in great shape as we enter Q4.”
