BOARD OF DIRECTORS’ MEETING

1. VENUE: Rua Coronel Dulcídio nº 800, in the city of Curitiba, state of Paraná. 2. DATE AND TIME: September 5, 2016 2:00 p.m. 3. PRESIDING: FERNANDO XAVIER FERREIRA -Chairman; LUIZ FERNANDO LEONE VIANNA Executive Secretary. 4. MATTERS DISCUSSED AND RESOLUTIONS TAKEN:

I.      Presentation of the Chief Executive Officer’s report, considering the monitoring of management indicators;
II.      Presentation on the evolution of the Company’s budget;
III.      Presentation of the Audit Committee’s report;
IV.      Unanimous approval of the Audit Committee’s activity report – first half of 2016;
V.      Unanimous approval of the Integrated Corporate Risk Management Policy;
VI.      Presentation of information on the Company’s Adherence to Law 12846/2013 (Anti- Corruption Law) and Law 13303/2016 (State-Owned Enterprise Responsibility Law);
VII.      Clarification on the progress of initiatives related to the proposal to enter into an agreement with Ivaí Engenharia de Obras S.A.;
VIII.      Approval, by a majority vote, of the terms of the Collective Bargaining Agreement Profit Sharing - fiscal year 2016; and
IX.      Presentation of the monitoring of the Plan for Maintenance of the Concession Agreement of
  Copel Distribuição S.A. and the result of the Company’s tariff revision.
