Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On August 28, 2007, Northway Financial, Inc. (the “Company” or “Northway”) issued a press release announcing its intention to voluntarily file for deregistration with the SEC and delist from the NASDAQ Global Market. The press release is filed herewith as Exhibit 99.1 to this report and is incorporated into this Item 3.01 by reference in its entirety.

On August 28, 2007 Northway issued a press release announcing that Northway stockholders had approved a 1-400 forward stock split and an 800-1 reverse stock split.
