Item 5.02                      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective May 15, 2008, James F. Malone, III retired from his position as a member of the Board of Directors (the “Board”) of PMA Capital Corporation.    Mr. Malone has served on the Board since 1974.  The Board has not filled the vacancy created by the retirement of Mr. Malone.
