Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

As previously disclosed in PMA Capital Corporation’s Proxy Statement distributed in connection with the 2006 Annual Meeting of Shareholders, on March 9, 2006, the Nominating and Corporate Governance Committee unanimously recommended that Joseph H. Foster, who previously served as a member of the class of directors with terms expiring at the 2006 Annual Meeting, be elected by the Board on May 9, 2006, to fill the vacancy in the class of directors with terms expiring at the 2007 Annual Meeting of Shareholders.

Accordingly, on May 9, 2006, the Board of Directors elected Mr. Foster to the class of directors whose terms expire at the 2007 Annual Meeting of Shareholders. Mr. Foster was also elected to serve as a non-voting member of the Nominating and Corporate Governance Committee.
