Item 9. Regulation FD Disclosure.

        On December 3, 2002, James F. Malone III, one of our directors, entered into a written stock trading plan, designed to comply with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended. Mr. Malone’s plan allows for the sale of a total of 250,000 shares of our Class A common stock over a one-year period and provides for sales of specified share amounts at predetermined minimum prices. Sales pursuant to this plan may begin on December 17, 2002 and will terminate on December 17, 2003, unless terminated sooner in accordance with the plan’s terms. The plan is being established to diversify a portion of Mr. Malone’s holdings of our Class A common stock in an orderly manner. Except as may be required by law, we do not undertake to report plans by our other officers or directors, nor to report modifications, terminations, transactions or other activities under Mr. Malone’s plan or the plan of any other officer or director.
