Item 5. Other Events and Regulation FD Disclosure.

        Effective June 17, 2002, Francis W. McDonnell resigned as Senior Vice President, Chief Financial Officer and Treasurer of the Company, and William E. Hitselberger has been elected to replace Mr. McDonnell as Senior Vice President, Chief Financial Officer and Treasurer.
