Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 10, 2013, Mr. Woody McGee notified Intellicheck Mobilisa, Inc. (the “Company”) that he would be retiring from the Board of Directors, effective at the time of the Company’s 2013 Annual Meeting of Stockholders on November 5, 2013, and therefore, would not stand for re-election. Mr. McGee has been a member of the Company’s Board of Directors since May 2010.
