(b) On October 21, 2004, W. Ferrell Sanders retired as a member of the Board of Directors of the Company.

(d) Also on October 21, 2004, the Board of Directors appointed Howard V. Rosen to fill the vacancy on the Board of Directors resulting from the retirement of Mr. Sanders.
