The Company could not complete its quarterly report on Form 10-QSB for the
fiscal quarter ended June 30, 2003 on a timely basis due to certain unforeseen
difficulties in connection with its preparation.

              With respect to its Form 10-QSB for the quarter ended
                                  June 30, 2003



     On April 3, 2003, the registrant acquired Proyecciones y Ventas
Organizadas, S.A. de C.V, a corporation organized under the laws of the Republic
of Mexico ("Provo"). The registrant is conducting additional research to
determine the appropriate accounting method to account for the acquisition.
Until the research is completed a reasonable estimate of the results cannot be
made.
