ITEM 8.01   OTHER EVENTS

            This Form 8-K/A amends the Current Report on Form 8-K filed by
Aehr Test Systems with the Securities and Exchange Commission on January 16,
2007.  The Form 8-K filed on January 16, 2007 is a duplicate of the Form 8-K
previously filed on January 4, 2007 and was filed again in error. No event
occurred on January 16, 2007 that required a Form 8-K filing.
