1. Represents 2,000,000 Units of the Issuer (the "Units"), each consisting of one Class A ordinary shares, $0.0001 par value per share (the "Class A Ordinary Shares") and one-fourth of one redeemable warrant (the "Warrants"), purchased in connection with the Issuer's initial public offering of Units, as described in the Issuer's prospectus dated August 3, 2021, as filed with the U.S. Securities and Exchange Commission (the "SEC") on August 4, 2021 (the "Prospectus"). Subject to the terms and conditions set forth in the Prospectus, each whole Warrant will become exercisable 30 days after the completion of the Issuer's initial business combination and thereafter will entitle the holder thereof to purchase one Class A Ordinary Share at a price of $11.50 per share, subject to adjustment, and such Warrants will expire five years after the completion of the Issuer's initial business combination or earlier upon redemption or liquidation, in each case as more fully described in the Prospectus. |
2. The securities of the Issuer disclosed in this Form 3 are held by or on behalf of certain funds (the "Funds") managed or advised by Third Point LLC ("Third Point"). Daniel S. Loeb is the Chief Executive Officer of Third Point. By reason of the provisions of Rules 13d-3 and under the Securities Exchange Act of 1934, as amended, Third Point and Mr. Loeb may be deemed to be the beneficial owners of the securities held by or on behalf of the Funds.
