The reporting person, as a limited partner, received 9 shares.  On March 14, 2005, V.I. Technologies, Inc. declared effective a 1-for-10 reverse stock split.  V.I. Technologies, Inc. is not issuing fractional shares and is instead paying cash for the value of the fractional share.  Accordingly, after incorporating the effects of the reverse stock split, zero shares were received under this distribution.</footnote>
        <footnote id="F2">On March 14, 2005, Ampersand 1995 Limited Partnership distributed shares of V.I. Technologies, Inc. stock to its limited partners.  The reporting person, as a limited partner, received 540 shares. After incorporating the 1-for-10 reverse stock split of V.I. Technologies, Inc. effective March 14, 2005, 54 shares were received.</footnote>
