Item 5.02(b) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

P.F. Chang's China Bistro, Inc. (the “Company”) is announcing that Richard Tasman, Chief Operating Officer (“COO”) of the P.F. Chang's concept, is departing the Company at the end of fiscal 2011. Mr. Tasman has served as COO of the P.F. Chang's concept since July 2007 and previously served as a P.F. Chang's Regional Vice President since 2004. Prior to 2004, he served as a P.F. Chang's Market Partner and developed the first P.F. Chang's restaurants in Illinois and Michigan.
