Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On August 10, 2009, the Board of Directors of P.F. Chang’s China Bistro, Inc. (the “Company”), pursuant to Delaware General Corporation Law and the Bylaws of the Company, approved an amendment to Section 1.7 of the Company’s Amended and Restated Bylaws. Such amendment revises the advance notice provisions of the Amended and Restatement Bylaws to ensure that such provisions are clear and unambiguous and that compliance with the notice procedures set forth in the Amended and Restated Bylaws is the exclusive means for a shareholder to make nominations or submit other business at a meeting of shareholders (other than proposals governed by Rule 14a-8 under the Securities Exchange Act of 1934). The foregoing description is qualified in its entirety by reference to the amendment attached hereto as Exhibit 3.1 and incorporated herein by reference.
