In accordance with our bylaws and our Corporate Governance Guidelines, James C. Day retired from our Board of Directors, effective May 25, 2016, immediately prior to our annual meeting of shareholders. Upon Mr. Day’s retirement, the number of members of our Board of Directors was reduced from 12 to 11.
