Part III - NARRATIVE The Company's accountants, Vavrinek, Trine, Day & Co., LLP, have not issued their opinion on the Company's financial statements at this time, and the Company is therefore unable to file its annual report on Form 10-K as of December 31, 1999. It is the Company's understanding that Vavrinek, Trine, Day & Co. LLP have encountered substantial delays in the completion of their audit due to an extensive regulatory exam and the Company's recent computer conversion. The Company and its accountants strongly believe that the annual report on Form 10-K will be filed by April 15, 2000. Attached is the form of the exhibit from the Company's accountants required by Rule 12(b)-25(c). Explanation - Part IV(3) Net income in 1999 was $3.1 million, a decrease of $1.0 million or 24.4%, compared to $4.1 million in 1998. Diluted earnings per share in 1999 were $1.21 compared to $1.55 in 1998.
