Dear Colleagues,

It has been a busy few weeks since we announced our transformative Merger of Equals with Harris Corporation.  We’ve been making progress on our integration planning, so I wanted to provide you with a brief update.

Over the past several weeks I’ve been highly engaged with our customers, employees and shareholders. There is a shared enthusiasm about the many possibilities resulting from the proposed merger; it’s apparent that this combination will give us the scale necessary to better compete in the marketplace.

At the core of this merger, it’s about you, the employee, and it’s together that we will build the future of L3.  The combination of our strengths will allow us to be even more competitive, execute better against our customer priorities and accelerate the pace of our innovative solutions.  I encourage you to embrace the changes ahead and remember that our expanded company will present you with even more fulfilling and rewarding career opportunities.

We and Harris have created an Integration Management Office (IMO), which will be jointly staffed by experienced leaders from both companies across all of our functional teams.  The IMO will manage functional and business integration project delivery and planning and will ensure our efforts remain on track from now until closing and beyond.  Harris’ CEO Bill Brown and I will oversee the IMO Steering Committee, and will work closely with the IMO to establish objectives and guiding principles for integration.

One of my key priorities is to ensure this is a seamless integration with minimal disruption to our business.  Heidi Wood, SVP, Corporate Strategy & Technology, and James Jordano, VP, Integration & Global Business Services, have been appointed as the Integration Leaders for L3 and Harris, respectively.  In addition, McKinsey & Company has been engaged to support the merger integration, and we will look to them to provide the right tools and approaches for a successful and smooth execution.  This week, we will have a kick-off merger integration meeting in Melbourne, FL to begin the process of establishing our charter, building the roadmap and defining our path forward.

As a reminder, the transaction is expected to close in mid-2019.  In the meantime, it’s imperative we keep our focus on our day-to-day work.
