L-3 COMMUNICATIONS ANNOUNCES SENIOR NOTE OFFERING
NEW YORK —(BUSINESS WIRE)— September 29, 2009—L-3 Communications Holdings, Inc. (NYSE: LLL) announced today that L-3 Communications Corporation, wholly owned subsidiary, intends to issue $750 million of senior notes in a private placement. The notes will be offered within the United States only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The notes will also be offered outside the United States to non-U.S. investors.
Subject to the successful consummation of this offering, L-3 intends to use the net proceeds from the offering and cash on hand to redeem the company’s $750 million 7 5/8% Senior Subordinated Notes due in June 2012 and to repay its $650 million outstanding term loan. In connection with the repayment of the term loan, the company plans to replace its $1.0 billion revolving credit facility with a new three-year revolving credit facility of at least $750 million.
