Entry into a Material Definitive Agreement.
     On July 14, 2006, the Company received the consent of Bank of America, N.A. to extend the maturity date of its credit facility to September 30, 2006. No borrowings are outstanding under the facility. The parties are negotiating an amendment and restatement of the credit facility for a three-year term, but no definitive agreements have been completed.
