Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

        On May 31, 2007, the Board of Directors of the Company approved increases, effective May 28, 2007, in the annual base salaries of Jack Egan, a Senior Vice President and Chief Financial Officer of the Company and Howard B. Weinreich, a Senior Vice President and General Counsel of the Company, as follows: Jack Egan’s base salary was increased from $300,000 to $325,000 and Howard B. Weinreich’s base salary was increased from $318,000 to $337,000.
