On January 7, 2010, Qwest Communications International Inc. (“Qwest” or the “Company” or “we” or “us” or “our”) announced that it was offering an expected $500 million aggregate principal amount of senior debt securities in a private placement to be conducted pursuant to Rule 144A under the Securities Act of 1933, as amended.  Also on January 7, 2010, Qwest announced that it had priced the offering and had increased the size of the offering to $800 million aggregate principal amount.  The sale of the securities is expected to close on January 12, 2010, subject to customary closing conditions.

Qwest Communications International Inc. Announces Offering of $500 Million of Debt Securities and Redemption of 7.25% Senior Notes Due 2011

 

Denver, Jan. 7, 2010 — Qwest Communications International Inc. (NYSE:Q), today announced that it is offering $500 million aggregate principal amount of debt securities in a private placement to be conducted pursuant to Rule 144A under the Securities Act of 1933, as amended. The net proceeds of the offering will be used for general corporate purposes, including repayment of indebtedness, and funding and refinancing investments in the company’s and its subsidiaries’ telecommunications assets.

 

This announcement does not constitute an offer to sell, or the solicitation of an offer to buy, securities. Any offers of the securities will be made only by means of a private offering memorandum. The securities have not been registered under the Securities Act of 1933, as amended, or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.

 

In addition, Qwest Communications International Inc. (QCII) will redeem its 7.25 percent senior notes due Feb. 15, 2011, at a price of 100 percent.  The $525 million outstanding principal amount and accrued interest payment will be payable on Feb. 16, 2010.

Qwest Communications International Inc. Places $800 Million in Notes

 

Denver, Jan. 7, 2010 — Qwest Communications International Inc. (NYSE: Q) today announced that it has priced an offering of $800 million aggregate principal amount of debt securities due April 1, 2018. The notes bear an interest rate of 7.125 percent per annum, payable semi-annually on April 1 and Oct. 1, with the first interest payment date on Oct. 1, 2010.

 

“We appreciate the continued support of our investors and are pleased with the success of this offering,” said Joseph J. Euteneuer, Qwest executive vice president and chief financial officer.

 

The 8-year notes were priced at 98.440 percent of par. The net proceeds of the offering will be used for general corporate purposes, including repayment of indebtedness, and funding and refinancing investments in the company’s and its subsidiaries’ telecommunications assets.

 

The sale of the notes is expected to close on Jan. 12, 2010.
