Item 8.01. Other Events.

 

On November 2, 2005, Qwest Communications International Inc. (“Qwest,” “we,” “us,” or “our”) entered into an Underwriting Agreement with Goldman, Sachs & Co., as representative for several underwriters named therein (the “Underwriting Agreement”) in connection with the offering by Qwest of $1.1 billion aggregate principal amount of convertible senior notes due 2025 (the “Notes”).  The Notes are being offered and sold under Qwest’s effective Registration Statement on Form S-3 (Registration Statement No. 333-127160) originally filed with the Securities and Exchange Commission on August 3, 2005 (as amended, the “Registration Statement”).  A copy of the Underwriting Agreement is attached hereto as Exhibit 1.1 and is incorporated herein by reference.

 

Attached hereto as Exhibit 25.1 is the Form T-1 of U.S Bank National Association to designate U.S Bank National Association to act as an eligible trustee under an indenture to be qualified under the Trust Indenture Act of 1939 in connection with the issuance of the Notes.  Exhibit 25.1 is incorporated herein by reference.

 

This Current Report on Form 8-K is being filed for the purpose of filing the Underwriting Agreement and the Form T-1 as exhibits for incorporation by reference into the Registration Statement.
