Item 1.01.  Entry into a Material Definitive Agreement.

 

On August 18, 2005, the Compensation and Human Resources Committee (the “Committee”) of the Board of Directors (the “Board”) of Qwest Communications International Inc. (“Qwest” or the “Company” or “we” or “us” or “our”) accelerated the vesting of all outstanding and unvested stock options that have an exercise price equal to or greater than $3.79, which was the closing market price of Qwest’s common stock on such date.  As a result of the acceleration, 50,426,942 stock options with a range of exercise prices of $3.79 to $51.88 and a weighted average exercise price of $4.87 (including 10,508,250 stock options held by our executive officers with a range of exercise prices of $3.82 to $32.38 and a weighted average exercise price of $4.50) became exercisable on August 18, 2005.   

 

The purpose of the acceleration is to avoid recognizing future compensation expense associated with the accelerated options upon the adoption of Statement of Financial Accounting Standards No. 123R, “Share-Based Payment.”  FAS 123R sets forth accounting requirements for “share-based” compensation to employees and requires companies to recognize in their income statements the grant-date fair value of stock options and other equity-based compensation.  While we have not finalized all elements of the model that we will follow when implementing FAS 123R, we estimate that future compensation expense will be reduced by approximately $80 million over the remaining vesting period of the options as a result of the acceleration.

 

Aside from the acceleration of the vesting date, the terms and conditions of the stock option agreements governing the underlying stock options remain unchanged.
