Item 8.01 Other Events.
     Arch Coal, Inc. today commenced an offer to pay a premium to holders of any and all of its 5% Perpetual Cumulative Convertible Preferred Stock who elect to convert their shares of preferred stock to shares of the company’s common stock subject to the terms of the offer. The offer is scheduled to expire at 12:00 midnight, Eastern Standard Time, on Thursday, December 29, 2005, unless extended or earlier terminated.
     The offer is being made pursuant to an offering circular and related documents, each dated November 30, 2005.
     A copy of the press release announcing the offering is attached hereto as Exhibit 99.1 and is hereby incorporated by reference.
