Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 12, 2007, Mettler-Toledo International Inc. entered into an agreement with Mr. Beat Lüthi, Head of the Laboratory Division, under which his employment with the company will end as of December 31, 2007.  Mr. Thomas Caratsch, currently Head of Business Development and with extensive management experience in the life science industry, will become the new Head of the Laboratory Division.
