Item 8.01 Other Events

On July 16, 2008, the Registrant issued a press release announcing that its Board of Directors had declared a quarterly cash dividend on its common stock of $0.10 per share.  The dividend will be payable on September 4, 2008 to stockholders of record as of the close of business on August 27, 2008.  Attached as Exhibit 99.1 to the Report is the Registrant’s July 16, 2008 press release, which is hereby incorporated herein by reference.

GRIFFIN ANNOUNCES QUARTERLY DIVIDEND

NEW YORK, NEW YORK (July 16, 2008) Griffin Land & Nurseries, Inc. (Nasdaq: GRIF) (“Griffin”) announced today that its Board of Directors had declared a quarterly cash dividend of $0.10 per share on Griffin’s common stock. The dividend is payable on September 4, 2008 to holders of record at the close of business on August 27, 2008.

Griffin operates a real estate business, Griffin Land, and Imperial Nurseries, its landscape nursery business.  Griffin also has investments in Centaur Media, plc, a public company based in the United Kingdom and listed on the London Stock Exchange, and Shemin Nurseries Holdings Corp., a private company that operates a landscape nursery distribution business through its subsidiary, Shemin Nurseries, Inc.
