Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 23, 2009, Paul DeStefano resigned from the Board of Directors of VaxGen, Inc., or VaxGen, effective December 1, 2009. The resignation was not the result of a disagreement with VaxGen on any matter.
