Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

QAD Inc.’s board of directors approved the appointment of Scott Adelson to its board of directors as an independent director on April 13, 2006. The appointment was announced April 19, 2006. Scott Adelson is a Senior Managing Director and Global Co-Head of Investment Banking in the Los Angeles office of Houlihan Lokey Howard & Zukin ("Houlihan Lokey"), a leading, international investment bank. He also serves as a member of Houlihan Lokey’s board of directors.
