Item 5.02  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Departure of Director

On April 30, 2011, Terence R. Cunningham, a director of QAD Inc. (“QAD”), advised the board of directors that he had decided not to run for re-election to the board of directors of QAD at its June 7, 2011 Annual Meeting of Stockholders.  Mr. Cunningham indicated that, due to other commitments, he would be unable to commit to an additional term of board service for QAD.  Mr. Cunningham will continue to fulfill all of his board responsibilities until his term expires effective June 7, 2011.  QAD’s board will evaluate the impact of Mr. Cunningham’s planned departure and determine what the next steps should be regarding director succession.
