Item 5.03                      Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 28, 2011, a change in the fiscal year end of Wayne Savings Bancshares, Inc.(the “Company”) and the Company’s wholly-owned subsidiary, Wayne Savings Community Bank (the “Bank”), from March 31 to December 31, was approved in separate meetings duly called and held by the Board of Directors of the Company and the Bank.  The audited financial statements for the new fiscal year will be reflected in the Company’s Form 10-K for the year ending December 31, 2011.
