Purpose of the Amendment
Item 8 of the Schedule 14D-9 filed by webMethods, Inc. on April 18, 2007, is hereby amended by adding the following sentence to the end of the second paragraph of the subsection entitled “Antitrust - Antitrust in the United States.”
“On April 27, 2006, the FTC granted early termination of the waiting period applicable to the Offer pursuant to the HSR Act.”
