FISHER COMMUNICATIONS TO COMMENCE PRIVATE

PLACEMENT OF SENIOR NOTES

 

 

Seattle, Washington, September 1, 2004—Fisher Communications, Inc. (NASDAQ:FSCI) today announced that it intends to commence a private placement of $150 million aggregate principal amount of senior notes due 2014. The notes will be unconditionally guaranteed on an unsecured, senior basis by all of Fisher Communications’ current and future material domestic subsidiaries.

 

Fisher Communications intends to use the net proceeds from the private placement to repay outstanding debt under its existing credit facilities and to terminate and/or settle its obligations under its existing variable forward sales transaction covering shares of Safeco Corporation common stock owned by Fisher Communications.

 

The notes have not been registered under the Securities Act of 1933, as amended, or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.

 

Fisher Communications also announced that it expects to enter into a new senior secured credit facility at the closing of the offering of the senior notes. The new credit facility will provide for borrowings of up to $20 million.
