Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Bay Banks of Virginia, Inc. (OTCBB: BAYK, the “Company”), parent company of Bank of Lancaster and Bay Trust Company, announced that Robert C. Berry, Jr., President and CEO of Bay Trust Company, would be retiring effective February 29, 2008. Mr. Berry also serves as a Director on the Boards of Bay Trust Company and Bay Banks of Virginia, Inc., and he will continue in that capacity.

Succeeding Mr. Berry will be John “Jay” B. Wallin, who will assume the role of President of Bay Trust Company on March l, 2008. Mr. Wallin joined the trust company in August of 2006 as a Senior Vice President and Trust Officer, with over 25 years of trust and investment experience.
