Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

On November 10, 2004, the Board of Directors of Bay Banks of Virginia, Inc. (the “Company”) accepted a resignation from letter of Richard C. Abbott, its Treasurer and principal financial and accounting officer. Mr. Abbott will be leaving the Company to accept the position of Vice President of Finance and Administration for Rappahannock Community College. Mr. Abbott’s resignation will be effective December 31, 2004. The Company will be conducting a search for Mr. Abbott’s successor but in the event the search is not completed by December 31, 2004, Mr. Abbott has agreed to be retained by the Company as its Acting Treasurer and acting principal financial and accounting officer.
