Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


On April 3, 2014, the Company and Mr. Doman entered into an amendment to the Consulting Agreement between the Company and Mr. Doman dated August 26, 2013, as amended by the First Amendment to the Consulting Agreement entered into as of October 3, 2013 and the Second Amendment to the Consulting Agreement entered into as of December 26, 2013, pursuant to which Mr. Doman serves as the Company’s Executive Chairman and Interim Chief Executive Officer (the “Amendment”).  The Amendment, which is effective as of March 26, 2014, extends the term of the Consulting Agreement to June 30, 2014.  Either party may terminate the Consulting Agreement upon ten (10) days’ prior written notice to the other party.
