All percentages assume the exercise of warrants and stock options held directly by each of the Reporting Persons. Dr. Miller is the beneficial owner of 5,220,368 shares of Common Stock, which consists of (i) 1,765,737 shares of Common Stock directly held by the Miller-Horning Trust, over which Dr. Miller and Dr. Horning share voting, investment and dispositive power, (ii) 559,073 shares of Common Stock underlying warrants that are exercisable within 60 days of December 31, 2024 and (iii) 2,895,558 shares of Common Stock underlying stock options that are vested or will vest within 60 days of December 31, 2024.
