Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On November 19, 2007, BEA Systems, Inc. (the “Company”) received a letter from the Board of Directors of The Nasdaq Stock Market LLC confirming that the Company has regained compliance with Nasdaq Rule 4310(c)(14). This determination was based on the Company having filed its Quarterly Reports on Form 10-Q for the quarters ended July 31, 2006, October 31, 2006, April 30, 2007 and July 31, 2007, and its Annual Report on Form 10-K for the fiscal year ended January 31, 2007, on November 15, 2007. Consequently, the matter has been closed and the Company’s securities will continue to be listed on Nasdaq.
